About the Company:
Sundaram Finance Holdings Limited, incorporated on 13th October, 1993, is a Public Limited Company headquartered at Chennai. The Company was a wholly owned subsidiary of Sundaram Finance Limited (SFL) with the main object of engaging in the business of investments of all types, including investments in financial services enablers, ‘Fin-tech' investments and ‘small start-up type' (incubator) investments.
Pursuant to the sanctioning of a Composite Scheme of Arrangement and Amalgamation by the Hon'ble NCLT, Chennai during January 2018, the non-core business activities of SFL, viz., shared services business, training services, identified investments in companies engaged in non-financial services and identified immovable properties, have been vested with the Company. As per the Scheme, the shareholders of SFL have been allotted shares on 12th February 2018 in SFHL in the ratio of 1 (One) equity share of Rs. 5/- credited as fully paid up in the capital of the Company for every 1 (One) equity share of Rs. 10/- each held by them in the capital of SFL as on the Record Date, i.e. 02.02.2018. Consequently, the shareholding of SFL in the Company has got reduced from 100% to 26.47% and the Company has become an associate of SFL.
The primary business of the Company is to make investments of all types and engage in business processing and support services, including training services.
The equity shares of the company have been listed on the National Stock Exchange of India Limited with effect from 26th March 2018.
